Terms of Service

Effective Date: March 16, 2026

These Terms of Service (“Terms”) govern your access to and use of the ReUp website, mobile application, and related services (collectively, the “Platform”), operated by ReUp Marketplace LLC, doing business as ReUp (“ReUp,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Platform. If you are under 18 and legally permitted to use the Platform with the consent of a parent or legal guardian, you represent that you have obtained that consent.

By using the Platform, you represent and warrant that:

  • you have the legal capacity to enter into these Terms;

  • the information you provide is accurate and complete; and

  • your use of the Platform does not violate any applicable law or regulation.

2. Nature of the Platform

ReUp is a campus-based marketplace that enables users to list, discover, buy, sell, and communicate with one another regarding goods and related transactions.

ReUp is a technology platform only. ReUp is not the buyer or seller of listed items and is not a party to transactions between users unless expressly stated otherwise. ReUp does not take title to, possess, inspect, store, ship, certify, verify, or guarantee any item listed on the Platform.

All transactions are solely between users. ReUp does not control and is not responsible for:

  • the existence, quality, safety, authenticity, legality, or condition of any item;

  • the truth or accuracy of any listing;

  • the ability of sellers to sell items;

  • the ability of buyers to pay for items; or

  • the conduct of any user.

3. University Affiliation Disclaimer

ReUp may organize access or activity around university communities, but ReUp is not sponsored by, endorsed by, administered by, or officially affiliated with any university, college, or educational institution unless expressly stated in writing.

Users are solely responsible for complying with all campus rules, housing rules, safety procedures, and institutional policies.

4. Account Registration and Security

To use certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for:

  • maintaining the confidentiality of your account credentials;

  • all activity under your account; and

  • promptly notifying us of any unauthorized use or suspected security breach.

We reserve the right to suspend or terminate accounts that contain false, misleading, or incomplete information.

5. User Listings and Seller Responsibilities

Sellers are solely responsible for their listings and the items they offer for sale. By creating a listing, you represent and warrant that:

  • you own the item or have the legal right to sell it;

  • the listing is accurate and not misleading;

  • the item is legal to sell, possess, and ship;

  • the item does not infringe any third-party rights; and

  • the item complies with these Terms and all applicable laws.

Sellers are responsible for accurately describing the item, including condition, defects, authenticity, pricing, and availability.

6. Buyer Responsibilities

Buyers are solely responsible for reviewing listings, evaluating the seller, asking questions, and determining whether an item meets their needs before completing a transaction.

Buyers assume full responsibility for decisions to purchase, pay, meet, receive shipment, or otherwise transact with another user.

7. Prohibited Items and Conduct

You may not use the Platform to list, offer, buy, sell, promote, or facilitate any unlawful, prohibited, unsafe, deceptive, or infringing goods or services.

Prohibited conduct includes, but is not limited to:

  • listing stolen goods or counterfeit goods;

  • listing illegal drugs, unlawful weapons, or other unlawful items;

  • listing recalled, hazardous, or unsafe products in violation of law;

  • posting false, misleading, or deceptive listings;

  • impersonating another person or entity;

  • harassing, threatening, stalking, or abusing another user;

  • using the Platform to commit fraud, scams, chargeback abuse, or deceptive practices;

  • infringing intellectual property, privacy, or publicity rights;

  • uploading malicious code or interfering with Platform operations;

  • scraping, reverse engineering, or attempting unauthorized access to the Platform; and

  • using the Platform in violation of any applicable law, regulation, or campus rule.

We may remove any listing or suspend any account at our sole discretion.

8. Messaging and Communications

The Platform may allow users to communicate through in-app messaging or related communication tools. You are solely responsible for your communications with other users.

You agree not to use the Platform to send unlawful, abusive, fraudulent, threatening, obscene, or infringing content.

ReUp may monitor, review, preserve, or disclose communications where necessary to operate the Platform, enforce these Terms, protect users, respond to legal requests, or address fraud, abuse, or safety concerns, subject to applicable law and our Privacy Policy.

9. Payments

The Platform may offer or integrate with third-party payment providers. If you use payment functionality, you may be subject to additional terms and conditions imposed by those third-party providers.

ReUp is not a bank, escrow provider, money transmitter, or payment processor unless expressly stated otherwise. ReUp is not responsible for:

  • payment failures;

  • payment delays;

  • processor outages;

  • chargebacks;

  • account holds;

  • fraud screening decisions;

  • payout delays; or

  • losses caused by third-party payment services.

Any fees charged by ReUp, if applicable, will be disclosed through the Platform.

10. Shipping, Pickup, and Delivery

Users are solely responsible for arranging and completing pickup, shipping, packaging, labeling, insurance, and delivery unless expressly stated otherwise.

ReUp is not responsible for items that are:

  • lost;

  • stolen;

  • delayed;

  • damaged in transit;

  • misdelivered; or

  • not received.

Risk of loss, damage, delay, and non-delivery remains between buyer and seller. Users are responsible for selecting carriers, verifying addresses, retaining tracking information, and preserving proof of shipment or delivery when appropriate.

Local pickup transactions occur at users’ own risk. Users should use caution and choose safe public locations for in-person exchanges.

11. Disputes Between Users

Any dispute between users, including disputes involving:

  • item condition;

  • authenticity;

  • non-delivery;

  • late delivery;

  • misrepresentation;

  • returns;

  • refunds;

  • exchanges;

  • damage;

  • payments; or

  • communications,

is solely between the buyer and seller.

ReUp is not obligated to mediate, investigate, resolve, reimburse, or adjudicate disputes between users. We may, in our sole discretion, assist with review, moderation, or enforcement, but we do not guarantee any outcome.

12. Platform Rights and Enforcement

We reserve the right, at any time and in our sole discretion, to:

  • remove or restrict listings;

  • suspend or terminate accounts;

  • investigate suspected misconduct;

  • monitor Platform activity;

  • refuse access to the Platform; and

  • take any action we believe is necessary to protect the Platform, users, or third parties.

We may take such action with or without prior notice.

13. User Content

You retain ownership of the content you submit to the Platform, including listings, photos, descriptions, profile information, messages, reviews, and other materials (“User Content”).

By submitting User Content, you grant ReUp a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt, modify, display, distribute, and use such User Content for the purpose of operating, improving, promoting, securing, and enforcing the Platform.

You represent and warrant that:

  • you own or control the rights to your User Content; and

  • your User Content does not violate these Terms or any law or third-party rights.

14. Intellectual Property

The Platform and all related software, text, graphics, logos, trademarks, service marks, designs, and other content provided by ReUp are owned by ReUp or its licensors and are protected by intellectual property laws.

Except as expressly permitted by us, you may not copy, reproduce, distribute, modify, create derivative works from, sell, lease, reverse engineer, or otherwise exploit any part of the Platform.

15. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. Termination

You may stop using the Platform at any time.

We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, for any reason, including suspected fraud, safety concerns, prohibited conduct, legal risk, repeated complaints, or violation of these Terms.

Termination does not relieve you of obligations incurred before termination.

17. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REUP DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR RELIABILITY.

REUP DOES NOT WARRANT THAT:

  • THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;

  • ANY USER IS WHO THEY CLAIM TO BE;

  • ANY ITEM IS SAFE, LEGAL, AUTHENTIC, OR ACCURATELY DESCRIBED; OR

  • ANY TRANSACTION WILL BE COMPLETED SUCCESSFULLY.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, PROPERTY, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO:

  • THE PLATFORM;

  • USER CONTENT;

  • USER CONDUCT;

  • TRANSACTIONS BETWEEN USERS;

  • PAYMENTS;

  • SHIPMENTS;

  • DELAYS;

  • DISPUTES; OR

  • THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REUP’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO REUP, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

  • ONE HUNDRED U.S. DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

19. Indemnification

You agree to defend, indemnify, and hold harmless ReUp and its officers, directors, employees, affiliates, contractors, agents, and licensors from and against any claims, demands, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Platform;

  • your listings, items, or transactions;

  • your User Content;

  • your violation of these Terms;

  • your violation of law or third-party rights; or

  • any dispute between you and another user.

20. Changes to These Terms

We may modify these Terms from time to time. If we do, we will update the Effective Date above and post the revised Terms on the Platform.

Your continued use of the Platform after any updated Terms become effective constitutes your acceptance of the revised Terms.

21. Governing Law

These Terms are governed by the laws of the State of [State], without regard to conflict of laws principles, except to the extent superseded by applicable federal law.

22. Venue

Any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction and venue of those courts.
